Twitter sent a company-wide memo to employees asking them to decline to comment/Tweet about Elon Musk Deals on Twitter. The memo was issued just hours after the Tesla CEO Elon Musk sent a notice to Twitter that he wanted from his $44 billion deal to acquire the company. In a filing with the U.S. Securities and Exchange Commission (SEC) on July 9, Musk’s team stated that he was terminating the agreement because Twitter had “seriously violated” their agreement and had making “false and misleading” statements during negotiations. Musk’s legal team wrote: “For nearly two months, Mr Musk sought the data and information needed to ‘make an independent assessment of the prevalence of fake or spam accounts on the platform. of Twitter. We received a notice of purported termination today from Elon Musk, and the Twitter Board of Directors issued the following statement in response (see Chairman Bret Taylor’s Tweet here):
“The Twitter board is committed to closing the transaction at the price and terms agreed with Mr. Musk and plans to pursue legal action to enforce the merger agreement. We are confident that we will prevail before the Delaware Premier Court. “
